TERMS OF SERVICE
EFFECTIVE_DATE: OCTOBER 25, 2026 // JURISDICTION: SWEDEN
// 1. OVERVIEW & ACCEPTANCE OF TERMS
These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between Exile 303 ("Company", "we", "us", or "our") and the client ("Client", "you", or "your"). Exile 303 operates the ExilePages platform (exilepages.com) and associated subdomains as a managed service brand underneath the Exile 303 entity. By engaging Exile 303 for website design, software development, ExilePages media decks, maintenance, hosting, or associated digital services, you agree to be bound by these Terms in full.
// 2. SERVICE OPTIONS & PAYMENT STRUCTURES
2.1 Option A: Full Upfront Purchase
- Payment Terms: Requires a 50% non-refundable down payment prior to project initiation. The remaining 50% balance is due upon final project handover and offboarding.
- Hosting Options: The Client may elect to self-host the website or utilize Exile 303 / ExilePages subdomain hosting via a domain redirect or custom CNAME routing.
- IP Transfer: Intellectual property (IP) is transferred to the Client only after 100% of the contract total is paid and offboarded.
2.2 Option B: Subsidized 12-Month Plan
- Payment Terms: Requires a 50% non-refundable down payment prior to project initiation. The remaining 50% balance is split into 12 equal, interest-free monthly payments.
- Hosting Requirement: Option B strictly requires hosting on an Exile 303 or ExilePages subdomain using a custom domain redirect for the full 12-month term. Self-hosting is not permitted under Option B until all 12 payments are successfully completed.
- IP Retention: Exile 303 retains complete ownership of all code, assets, and subdomains throughout the 12-month payment period.
2.3 Non-Refundable Down Payment Clause
All down payments made to Exile 303 are explicitly non-refundable down payments (not deposits). The down payment secures engineering availability, planning, and immediate resource allocation. Should the Client cancel, delay, or abandon the project at any stage, the 50% down payment shall not be refunded under any circumstances.
2.4 Payment Gateways
Accepted payment methods include Stripe, PayPal, Venmo, and Frilans Finans (for clients located in Sweden). All transaction fees imposed by payment processors are the responsibility of the Client unless explicitly waived.
// 3. INTELLECTUAL PROPERTY & ATTRIBUTION
3.1 Retention and Transfer of Ownership
Exile 303 retains sole intellectual property rights to all custom source code, design frameworks, structural templates, and build logic until all contract fees are paid in full. Upon 100% completion of payments under Option A or Option B, full IP ownership of the completed site files transfers to the Client.
3.2 Footer Attribution ("Built by Exile 303")
All websites and ExilePages decks constructed by Exile 303 feature a discreet attribution line in the footer reading: "Built by Exile 303" or "Powered by ExilePages".
White-Label Fee ($1,350 USD): Clients may opt to remove the footer credit by paying a flat upfront fee of $1,350 USD. Payment of the White-Label Fee applies exclusively to the removal of the footer credit and does not restrict Exile 303’s rights to feature the project in its portfolio.
3.3 Portfolio Display Rights & Portfolio Exclusion Fee
Exile 303 reserves the right to display all completed projects, ExilePages creator decks, screenshots, design concepts, and case studies in its public marketing materials, website, and portfolio.
Portfolio Exclusion Fee ($3,000 USD): Clients who wish to restrict Exile 303 from displaying their project in any public portfolio or case study must pay a flat upfront fee of $3,000 USD. Payment plans are not permitted for the Portfolio Exclusion Fee.
Exile 303 reserves the right to reuse underlying structural code, logic, and component layouts as standardized templates for future client developments.
// 4. MAINTENANCE & SERVICE LEVEL AGREEMENT (SLA)
4.1 Maintenance Scope & Hourly Rates
Maintenance tasks on self-hosted client websites or out-of-scope modifications are governed by an agreed-upon Service Level Agreement (SLA). Out-of-scope maintenance is billed at an agreed hourly rate with a mandatory one-hour minimum charge per task request.
4.2 Self-Hosted Client Websites Disclaimer
For websites hosted directly by the Client, Exile 303 assumes zero liability under any capacity for hosting infrastructure, server security vulnerabilities, uptime, or functionality beyond the last verified maintenance check-in. While active SLA agreements allow Exile 303 to perform requested updates and maintenance tasks, the Client remains entirely responsible for their own hosting environment, server security, and continuous site availability.
4.3 Uptime & Third-Party Infrastructure Disclaimer
When Exile 303 hosts websites or operates the ExilePages sub-domain network on behalf of clients, service delivery relies on third-party infrastructure (including, but not limited to, Cloudflare, Worker edge routing, and public social platform APIs) for domain routing, edge security, metric synchronization, and DNS management. While Exile 303 manages these deployments, Exile 303 does not guarantee 100% uninterrupted uptime and cannot be held liable for website downtime, service disruptions, API data delays, or outages caused by Cloudflare, domain registrars, or third-party host network failures.
4.4 Code Defect Remediation & Financial Liability Limits
- In the event of a website malfunction caused directly by bad or defective code written by Exile 303, Exile 303 will take full responsibility to remedy the code error at no additional charge.
- 72-Hour Reporting & Access Requirements: Outages or severe code defects must be officially reported to Exile 303 via designated communication channels (including official Discord ticket queues or email) and acknowledged via direct confirmation of receipt by Exile 303 for liability considerations to apply. The 72-hour remediation window applies exclusively to projects hosted directly on Exile 303 / ExilePages infrastructure or self-hosted client environments where Exile 303 retains preexisting, active, and persistent administrative access.
- Exclusion of By-Availability & Delayed Access: If a code defect is reported on a self-hosted site where Exile 303 does not possess pre-established, immediate access—or where access credentials are submitted concurrently with or following the bug report—Exile 303 is explicitly exempt from the 72-hour window and bound to no fixed remediation timeline. Any revocation of access, credential modification, or delay in granting full entry by the Client immediately nullifies all timeline guarantees and voids liability for the corresponding outage period.
- Proof of Loss Requirement: Exile 303 shall not assume any financial burden or compensate for claimed lost business/revenue unless the Client provides direct, verifiable financial proof connecting the downtime strictly to lost sales (e.g., official banking statements and e-commerce ledger logs). Arbitrary estimates, potential profits, or indirect losses will not be accepted.
- Exile 303's total financial liability for code defects is strictly capped at the direct net verified revenue lost during the documented outage window.
// 5. TERMINATION & OFFBOARDING
5.1 Service Termination & Grounds for Cancellation
Either party may terminate a project or ongoing service agreement upon written notice under the following conditions:
- Termination by Client: The Client retains the right to terminate services at any point by submitting written notice to Exile 303.
- Termination by Exile 303: Exile 303 reserves the explicit right to unilaterally terminate services, active builds, or ExilePages subdomain hosting immediately if the Client engages in any of the following material breaches:
- Hostile or Abusive Behavior: Harassment, discriminatory language, threat vectors, or abusive conduct directed toward Exile 303 staff or contractors.
- Excessive or Unreasonable Delays: Failure by the Client to provide essential assets, project feedback, or necessary credentials within 30 consecutive calendar days of a request.
- Unlawful Intent or Illegal Activity: Requests to deploy illegal content, malicious scripts, phishing schemes, or copyright-infringing assets.
- Non-Payment or Payment Default: Delinquency on payment schedules under Option B, ExilePages hosting subscriptions, or failure to resolve invoices within designated payment windows.
- Requirement of Documented Proof: For any termination initiated by Exile 303 under section 5.1, Exile 303 must retain verifiable, documented proof of the triggering conduct (e.g., written communication logs, email records, or timestamped request trails) for the cancellation to be deemed valid.
- Mutual Non-Refundability: In the event that service is terminated by either party for any reason, no refunds will be issued for any past down payments, completed milestones, or services rendered prior to the date of termination.
5.2 Offboarding & Sunset Protocol
Upon service termination:
- Websites or media decks hosted on Exile 303 or ExilePages subdomains will be sunset and decommissioned.
- Compiled production files and assets will be archived to secure offline storage indefinitely.
- The Client forfeits active rights to use Exile 303 or ExilePages subdomains, custom modules, or unreleased assets unless fully paid off under Option A or Option B terms.
// 6. GOVERNING LAW & ARBITRATION
These Terms of Service and Privacy Policy are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sweden.
